End-User License Agreement (EULA)

Austral News hereby grants you access to austral.press (“the website”) and invites you to purchase the services offered here.

Definitions and key terms

To help explain things as clearly as possible in this EULA, every time any of these terms are referenced, they are strictly defined as:

• Cookie: small amount of data generated by a website/app and saved by your web browser. It is used to identify your browser, provide analytics, and remember preferences (e.g., language, login).
• Company: “Company,” “we,” “us,” or “our” refers to IS Media Network SAS, (World Trade Center III, Montevideo, 11300, URY).
• Country: where Austral News or the owners/founders of Austral News are based, in this case Uruguay.
• Service: the service provided by Austral News as described in the relevant terms and on this platform.
• Third-party service: advertisers, contest sponsors, promotional/marketing partners, and others who provide content or whose products/services may interest you.
• Website: Austral News’s site, accessible at austral.press.
• You: a person or entity registered with Austral News to use the Services.

Introduction

This End User License Agreement (the “Agreement”) is a binding agreement between you (“End User”, “you” or “your”) and IS Media Network SAS (“Company”, “we”, “us” or “our”). This Agreement governs the relationship between you and us, and your use of the Company Austral News. Each may be referred to as a “Party,” and together, the “Parties”.

If you are using the website on behalf of your employer or other entity (an “Organisation”), then “End User,” “you,” and “your” apply to both you and the Organisation. By using or purchasing a license on behalf of an Organisation, you warrant that you have authority to (1) purchase a license and (2) bind the Organisation to this Agreement.

Acceptance of this Agreement

By downloading, installing, accessing, or using the website you: (a) affirm you have the necessary permissions; (b) if using under an Organisation license, are authorized by that Organisation; (c) acknowledge you have read and understand this Agreement; (d) are competent to enter a binding agreement; and (e) accept and agree to be legally bound by its terms. If you do not agree, do not access or use the website/software. If already downloaded, delete it from your device. The Application is licensed, not sold, by Austral News.

License

Subject to this Agreement (and any applicable License Agreement), Austral News grants you a limited, non-exclusive, perpetual, revocable, and non-transferable license to:

• Download, install, and use the Software on one (1) computing device per single-user license purchased. For multiple devices, purchase the corresponding number of licenses.
• Access, view, and use on such device any End User Provided Materials accessible through the Software, in accordance with this Agreement and any applicable terms.
• Install and use the trial version on any number of devices for a 15-day trial period after installation.
• Receive updates and new features available during the one (1) year period from the license purchase date.

Restrictions

• Do not license, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the Application, nor make it available to any third party.
• Do not modify, create derivative works, disassemble, decrypt, reverse compile, or reverse engineer any part.
• Do not remove, alter, or obscure any proprietary notices of Austral News or its affiliates/partners/licensors.

Intellectual Property

All intellectual property rights in the Software remain the exclusive property of Austral News (or its suppliers/licensors). This Agreement grants a limited right to use such IP solely as part of the Software and only for the Term of your license. Any use outside this scope constitutes infringement and may also be a breach of contract. Except as expressly granted, Austral News reserves all rights. You/your Organisation retain ownership of IP in work products you create through or with the Software.

Your Suggestions

Any feedback, comments, ideas, improvements, or suggestions (“Suggestions”) you provide remain the sole and exclusive property of Austral News. We may use, copy, modify, publish, or redistribute Suggestions for any purpose without credit or compensation.

Modifications to Application

Austral News may modify, suspend, or discontinue the Application or any connected service, temporarily or permanently, with or without notice and without liability.

Updates to Application

Enhancements or improvements (patches, bug fixes, updates, upgrades, and other modifications) may alter or remove features. We have no obligation to provide Updates or to continue any particular feature. Updates are deemed part of the Application and subject to this Agreement.

Third-Party Services

The Application may display/include third-party content or link to third-party services. Austral News is not responsible for any Third-Party Services and assumes no liability for their accuracy, legality, quality, or any other aspect. Access and use them at your own risk under their terms.

Term and Termination

This Agreement remains in effect until terminated by you or Austral News. We may suspend or terminate at any time for any reason, with or without notice. This Agreement terminates immediately if you fail to comply with its provisions. Upon termination, cease all use and delete all copies. Termination does not limit any rights or remedies at law or equity for prior breaches.

Indemnification

You agree to indemnify, defend, and hold harmless Austral News and its officers, directors, employees, agents, affiliates, successors, and assigns from any losses, damages, liabilities, claims, costs, or expenses (including reasonable attorneys’ fees) arising from or related to your use/misuse of the Software, failure to comply with law, breach of this Agreement, or your agreements with any Organisation/third party.

No Warranties

THE APPLICATION IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND (EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE), INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation, compatibility, accuracy, or that defects will be corrected. Some jurisdictions may not allow certain exclusions.

Limitation of Liability

To the maximum extent permitted by law, Austral News’s total liability shall be limited to the amount actually paid by you for the Application. In no event shall Austral News or suppliers be liable for special, incidental, indirect, or consequential damages (including loss of profits, data, business interruption, privacy, or similar), even if advised of the possibility and even if a remedy fails of its essential purpose. Some jurisdictions may not allow these limitations.

Severability

If any provision is unenforceable/invalid, it shall be modified/interpreted to accomplish its objectives to the greatest extent permitted, and the remaining provisions will continue in full force.

Waiver

No failure or delay in exercising any right under this Agreement operates as a waiver. In case of conflict between this Agreement and any purchase terms, this Agreement governs.

Amendments to this Agreement

We may modify or replace this Agreement at our sole discretion. For material changes, we will provide at least 30 days’ notice before new terms take effect. By continuing to access or use the Application after revisions become effective, you agree to the revised terms. If you do not agree, you are no longer authorized to use the Application.

Governing Law

The laws of Uruguay (excluding conflicts of law rules) govern this Agreement and your use of the Application. Your use may also be subject to other local, state, national, or international laws.

Changes to this Agreement

We reserve the exclusive right to make changes from time to time. Your continued access/use constitutes acceptance. If within 30 days of posting changes you do not agree, you may withdraw acceptance by written notice; upon doing so, you are no longer authorized to access or use the website.

No Employment or Agency Relationship

Nothing herein creates any relationship other than that of an end user of the website/services.

Equitable Relief

You acknowledge that breach would cause irreparable harm for which monetary damages are inadequate; we may seek injunctive relief in addition to other remedies.

Headings

Headings are for reference only and do not limit the scope or interpretation of this Agreement.

Geographic Restrictions

The Company is based in Uruguay and maintains compliance with Uruguay laws/regulations. If you use the website from outside Uruguay, you are solely responsible for compliance with local laws.

Limitation of Time to File Claims

Any cause of action or claim arising out of or relating to this Agreement or the website must commence within one (1) year after accrual; otherwise it is permanently barred.

Entire Agreement

This Agreement constitutes the entire agreement between you and Austral News regarding your use of the Application and supersedes all prior/contemporaneous agreements. You may be subject to additional terms when you use or purchase other Austral News services.
